This is a Corporate Governance Officer / Assistant Company Secretary responsible for supporting board and committee governance, maintaining governance and compliance frameworks, managing documentation, producing high-quality minutes, and ensuring accountability across the trading business.

Job Description

  • Coordinate board and committee meetings, including agenda preparation, minute-taking, action tracking, and follow-up activities
  • Maintain and enhance corporate governance frameworks, policies, and procedures to support business objectives
  • Prepare governance reports and management information for internal stakeholders and governance committees
  • Monitor compliance with governance processes, ensuring documentation, approvals, and records remain accurate and complete
  • Support governance-related due diligence and KYC activities while liaising with stakeholders across multiple jurisdictions
  • Collaborate with legal, compliance, finance, and commercial teams to ensure governance requirements are embedded within transaction approval processes, committee activities, and key corporate initiatives.

The Successful Applicant

  • 5-8 years of experience within corporate governance, company secretarial, legal operations, paralegal, or governance-focused compliance functions
  • Bachelor's degree in Law or a Governance, Compliance, or related discipline
  • Proven experience supporting boards, committees, executive stakeholders, and governance reporting processes
  • Strong documentation, policy review, drafting, and minute-taking skills with exceptional written English
  • Resilient, organised, and confident engaging with senior stakeholders in a fast-paced and evolving environment
  • Demonstrated ability to operate effectively in a fast-paced, evolving environment, using strong stakeholder management skills to drive accountability and deliver outcomes with minimal supervision.
